Pharma Pulse: Vicapsys-Stateline Merger and Veritiv's TempSafe RxShield

First up, a newly combined company is betting on drug channels it says the three national wholesalers have long underserved. Vicapsys Life Sciences completed its reverse merger with Stateline Distributors of Puerto Rico, making the specialty wholesaler a wholly owned subsidiary.¹ Stateline operates in compliance with the Drug Supply Chain Security Act and serves roughly 400 healthcare accounts on the island. It reaches all 50 states through a title model, taking ownership of product and fulfills through Drugzone, a 50-state-licensed third-party logistics provider, instead of building licensed warehouses in each state. Stateline also holds a teaming agreement with a tribally owned, SBA-certified 8(a) firm. The company says that agreement opens set-aside and sole-source federal contracting, including Indian Health Service pharmaceutical supply. On the product side, Vicapsys signed a definitive agreement to acquire NitroMist, a discontinued nitroglycerin lingual aerosol, for a $2 million convertible note. Closing depends on FDA acknowledging the NDA transfer, and a relaunch will require re-established manufacturing, current stability data and NDC re-listing. Vicapsys is also in discussions to acquire a roughly 120,000-square-foot former API plant in Puerto Rico.

Next, Veritiv is taking aim at the GLP-1 last mile. The packaging distributor introduced TempSafe RxShield, a compact cold chain shipper for refrigerated specialty pharmaceuticals, as growing prescription volumes push up specialty pharmacy parcel costs and strain storage space.² The roughly 240-gram package is designed to hold refrigerated temperatures for up to 30 hours, is validated to ISTA 7E thermal performance standards and fits up to four 10 mL vials alongside a custom phase change material bottle. Veritiv pitches the slim footprint as a way to cut dimensional weight charges and fit more inventory into existing storage, with a reusable canister for patients.

The company cited estimates that adult GLP-1 use rose from 3% in 2024 to 11% in 2026, and that more than 60% of specialty pharmacy prescriptions ship by mail. Those numbers help explain why temperature control has become a make-or-break variable in pharma logistics. The shipper is available through Veritiv's nationwide cold chain network.

In other news, Section 232 tariffs on branded drug imports reach the rest of the industry next week. Under the April 2nd presidential proclamation, the duties apply to goods entered on or after 12:01 a.m. Eastern on Tuesday, Sept. 29, for companies not listed in Annex III, which have been subject since July 31.³ Generics and biosimilars remain exempt for now. Commerce can apply the reduced onshoring and MFN rates to companies it judges likely to qualify soon, so late announcements before Tuesday are worth watching as pricing, trade and manufacturing policy continue to converge.

Lastly, today marks HRSA's deadline to issue approvals under its revised 340B Rebate Model Pilot Program. The pilot lets approved manufacturers provide the 340B ceiling price through rebates after dispensing, instead of upfront discounts. HRSA says the drugs eligible for the pilot accounted for less than 5.5% of total 340B sales based on 2025 data.⁴ The pilot is scheduled to begin Jan. 1, 2027, and approved manufacturers must give covered entities 90 calendar days' notice before implementation.
